Course Overview:                                                                                                                               This course is set up for the veteran practitioner who wants to learn more about the process of preparing his/her practice to sale and for the younger practitioner who desires to purchase his/her own practice. From the Seller’s perspective, we discuss what information needs to be gathered to share with a broker or buyer and we discuss the alternatives for selling his/her practice: broker or sale by owner! From the Buyer’s perspective, we discuss what financial documents should be reviewed as part of the “Due Diligence” process and what the focus of the chart review should be. We examine the sale and purchase process flipping back and forth between what the seller should do and expect and what the buyer should be looking for and what to expect during the process of finding the right practice to purchase. The course includes hiring an associate, protecting the practice patient or referral base and using a written employment agreement for staff members after the practice is purchased.

Julia Goldman, ESQJulia Goldman, a native Northern Californian, specializes in defending physicians, optometrists, dentists, and small to mid-size employers in the areas of business and employment.  In the area of employment law, Ms. Goldman assists with wage and hour and discrimination/harassment/retaliation/wrongful termination defense. Ms. Goldman writes office policy manuals, assists with implementing new policies, provides on the spot advice including terminations, pregnancy, disability inquiries, etc.

In the business law arena, Ms. Goldman provides transactional assistance including drafting, reviewing and revising independent contractor and employment agreements, professional dental/medical practice sales, partnership and shareholder agreements, space sharing agreements and leases, and entity formation such as corporations, and LLCs.

Ms. Goldman handles litigation cases for clients as well in the business and employment realms. Ms. Goldman lectures in employment and business litigation to local dental/optometric/medical associations, study clubs, and graduate institutions.
Ms. Goldman graduated with a Political Science degree and Paralegal Certification from California State University, Chico. She attended California Western School of Law in San Diego, receiving her Juris Doctor. Ms. Goldman enjoys spending time with her family and friends, and hiking with her dogs. Ms. Goldman is a big sister in the North Bay Big Brothers and Big Sisters association. She also enjoys volunteering at Lawyers in the Library at the Marin County Law Library.
